PROCUREMENT SERVICE AGREEMENT

采购服务协议

Contract No. (合同编号): 2025-SA-[你的店铺名缩写]-001

Date (签署日期): [填入早于你二审触发日期的某个时间，例如：January 1st, 2025]

BETWEEN (签署双方):

Party A (Purchaser / 甲方):

Name: [填入你 PayPal 后台注册的主体名称，必须完全一致]
Address: [填入你 PayPal 后台注册的地址]
Represented by: [你的名字]

Party B (Supplier / 乙方):

Name: [填入供应商公司全称，去速卖通/1688档案找]
Address: [填入供应商地址]
Represented by: [供应商联系人姓名]

WHEREAS (鉴于):

Party A is engaged in cross-border e-commerce business and wishes to purchase products from Party B; Party B is willing to supply products and provide related logistics services.

鉴于甲方从事跨境电商业务并希望向乙方采购产品；乙方愿意供应产品并提供相关物流服务。

IT IS HEREBY AGREED as follows (双方达成如下协议):

PRODUCT & SUPPLY (产品与供应)

Party B agrees to supply Party A with products including but not limited to: [填入你的核心产品英文关键词, 如: Consumer Electronics, Home Decor]. Party B guarantees that all supplied products are brand new and meet the quality standards.

乙方同意向甲方供应包括但不限于上述类别的产品。乙方保证所有供应产品均为全新且符合质量标准。

FULFILLMENT & DROP SHIPPING (履约与代发货) [核心条款]

2.1 Just-In-Time Model: Both parties agree to adopt a Just-In-Time (JIT) procurement model to optimize inventory efficiency.

双方同意采用 JIT（准时制）采购模式以优化库存效率。

2.2 Direct Fulfillment: Party A is not required to stock inventory physically. Upon receiving order instructions from Party A, Party B shall ship the products directly to the end-customers designated by Party A via international express.

甲方无需实物囤货。收到甲方订单指令后，乙方应将产品直接发货给甲方指定的终端客户。

PAYMENT & SETTLEMENT (付款与结算)

Prices shall be based on the prevailing market price or agreed quotation. Payment shall be settled on a [Weekly / Monthly] basis via bank transfer or online payment platforms.

价格基于市场价或商定报价。货款将通过银行转账或在线支付按 [周/月] 结算。
